The artwork, designs, and trademarks imprinted on the products displayed on our website are reproduced solely as examples of the type and quality of decorated products available. The display of these images is not intended to imply that the products are either endorsed by, or produced for, the owners of the artwork, design, or trademark.
Orders are subject to acknowledgment by CUSPRO, INC. (the "Seller") at its home office in Oviedo, Florida, and will be acknowledged to the Buyer promptly upon receipt. A confirmed order is not subject to cancellation, reduction in quantity, or modification in any respect without the express written consent of both the Buyer and CUSPRO, INC. In the event CUSPRO, INC., in its sole and untrammeled discretion, permits the cancellation of a sales order, the Buyer agrees to pay all costs incurred to date, plus a $60.00 order cancellation charge ($200.00 for any Custom Service or Custom Manufacturing Orders).
By submitting designs, logos, or any other material to Cuspro, Inc. for use in producing the items ordered, you (the "Buyer") warrant and represent that you are the sole, legal owner or licensee of all rights. Materials will be accepted by Cuspro, Inc. under the assurance that they are submitted in full compliance with all applicable laws regarding trademarks, service marks, copyrights, rights of privacy, patents, or similar protections.
The Buyer agrees, at its own expense, to defend all suits or proceedings instituted against CUSPRO, INC. insofar as they are based upon any claim that the pictures, designs, artwork, logos, or other materials furnished by the Buyer constitute an infringement or alleged infringement of any patent, trademark, trade name, trade secret, or similar common law right. The Buyer agrees to pay all costs, damages, and profits recoverable in any such suit, and to completely reimburse Cuspro, Inc. for any and all expenses (including, but not limited to, reasonable attorneys' fees) incurred in connection therewith.
Orders must be prepaid via Credit Card, ACH, Wire Transfer, or Check. If the Buyer sells, assigns, or discontinues their business, or refuses and/or fails to accept delivery of goods ordered, any outstanding amount becomes immediately due and payable in full.
An interest charge of 1½% per month is applied to all past-due invoices, and the Buyer agrees to pay interest at such rate on all past-due amounts. THIS CHARGE DEVELOPS AN EFFECTIVE ANNUAL INTEREST RATE OF 18% OR THE MAXIMUM ALLOWED BY LAW. In the event that collection actions become necessary, all collection expenses, attorneys' fees, and court costs shall be paid entirely by the Buyer. The Buyer will also be assessed a fee of $60.00 or 5% of the face amount of the check or preauthorized charge (whichever is greater) if any check or preauthorized payment is dishonored.
NOTE: By processing payment via Credit Card, Check, Wire Transfer, ACH, or any other means accepted by Cuspro, Inc., the Buyer confirms that all details specified in the Sales Order and/or Imprint Proof provided are correct, fully approved by the Buyer, and subject to these Terms & Conditions. No additions or modifications will be binding upon CUSPRO, INC. unless expressly agreed to in writing by CUSPRO, INC.
The Buyer acknowledges liability for and agrees to pay all federal, state, and local taxes applicable to the goods shipped and amounts paid on the order, unless they provide Cuspro, Inc. with an acceptable, valid tax exemption certificate prior to production.
The production and delivery of goods ordered are contingent upon the availability of raw materials and labor. Cuspro, Inc. shall not be held liable for delays, damages, or failures resulting from acts of God, warfare, government regulations, riots, strikes, labor shortages, supply chain disruptions, or any other conditions beyond our reasonable control.
All orders are sold F.O.B. (Free on Board) shipping point. All transportation and shipping charges must be paid by the Buyer. Unless a specific method of shipment is requested by the Buyer at the time of the order, Cuspro, Inc. reserves the right to select the most appropriate carrier. Delivery of the merchandise to the carrier or forwarder shall be deemed formal delivery to the Buyer. Consequently, Cuspro, Inc. shall not be liable for any transit delays, losses, or physical damage incurred after handover; all claims for transit loss or damage must be filed directly with the carrier by the Buyer.
Any claim regarding item quantity, quality, product defects, failure to conform to the Sales Order, or any other cause shall be deemed completely waived by the Buyer unless formal written notice of such claim is received by Cuspro, Inc. within ten (10) calendar days following receipt of delivery. Prior written authorization from Cuspro, Inc. is strictly required before returning any merchandise. Unauthorized returns will be explicitly refused and returned to the sender at the sender's expense.
The minimum order quantities allowed are explicitly specified on each individual product page. In the event these requirements exceed your desired quantities, please contact us for alternative solutions. For select items where a Less-Than-Minimum (LTM) quantity is permitted, additional setup and processing charges will apply. We will make every reasonable effort, upon your request, to modify or cancel your order. If production has not yet commenced, no additional change or cancellation fees will apply. In any other event, the Buyer agrees to pay all material, design, and manufacturing costs incurred up to the date of modification/cancellation, in addition to a $60.00 order cancellation fee.
Cuspro, Inc. warrants solely that the delivered goods will be merchantable. We specifically disclaim all other warranties, whether expressed or implied, arising from a course of dealing, performance, or usage of trade—specifically including any implied warranties that the goods are fit for a particular purpose. The Buyer assumes all risk and liability resulting from the use of the products delivered hereunder, whether used individually or integrated with other materials.
The sale of goods and this Sales Order shall be construed, interpreted, and enforced strictly in accordance with the laws of the State of Florida, with legal jurisdiction and venue residing in the courts serving Oviedo, Florida. The enumeration herein of certain rights does not exclude others given by law. No waiver by the Seller of any condition appearing herein shall be deemed to constitute a continuous waiver of terms, nor a waiver of any subsequent transactions.
